Private beta

Private Beta Terms

The terms for the Structural Content private beta: you send us exports from your systems and your priority, we send you campaign briefs. Free of charge.

Version 2026-10-29

1. Parties and how these terms are agreed

These terms apply between Structural Content UG (haftungsbeschränkt), Kollwitzstraße 76, 10435 Berlin, Germany; Amtsgericht Charlottenburg, HRB 291186 B; managing director Sebastian Rasso Messerer ("we") and the company named when they are accepted ("you"). They are for businesses only.

They are agreed when a person authorised to act for your company accepts them, together with the Data Processing Agreement, on your private upload page. We record the company's name, address and register entry; the name, role and email of the person accepting; an optional privacy contact; the time; and the version accepted; our privacy policy says how we handle those details.

2. What the beta is

You upload file exports from your own systems and state a strategic priority and the metrics under pressure. We analyse them, with AI, and send you campaign briefs for your marketing team. The service is still being developed: we work with care, but we do not promise a particular result or that a metric moves.

3. Price

The beta is free of charge. Nothing renews or turns into a paid plan; a paid engagement needs a separate agreement.

4. Your data

We process the personal data in your uploads as your processor under the Data Processing Agreement (version 2026-10-29), which forms part of these terms. It sets out what we receive, where it is processed, who sees it and when it is deleted.

You upload only data you are entitled to share with us for this purpose, and for each system only the columns we agreed for it. We use your data for your briefs and nothing else: never to train or evaluate a model, never for another customer.

5. The briefs

The briefs are yours to use, change and share within your company and with the agencies and freelancers you work with. They are generated with AI and marked as such; review them before you publish anything based on them. Our methods, prompts and know-how remain ours, and contain none of your data.

6. Feedback

After the briefs are handed over we ask which briefs you used and whether the metric moved. We may use what you tell us to improve the product. We name you outside our company only with your consent.

7. Confidentiality

Each side keeps the other's non-public information confidential, during the beta and for two years after it. The Data Processing Agreement's obligations apply in addition and are not shortened by this clause.

8. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence we are liable only for breach of an obligation that makes the beta possible at all and on which you may rely, and only for the damage typical and foreseeable when these terms were agreed. Liability under Art. 82 GDPR is unaffected.

9. Duration and end

These terms run from acceptance until either side ends them by email. Within 30 days of the end we delete your uploads, the priority and metrics you state, your questions about the briefs, and everything made from them, wherever we hold them, except the record listed in Annex II of the Data Processing Agreement under "What is kept after deletion", and confirm the deletion in writing. We send that email once the last briefs are handed over. Clauses 4 to 9 and 11 continue to apply after the end.

10. Changes

A change to these terms or to the Data Processing Agreement applies only once you accept it. The version you accepted stays on record. A change of sub-processor follows the notice procedure of the Data Processing Agreement (Clause 7.7).

11. Law and language

German law applies. Place of jurisdiction is Berlin if you are a merchant. These terms are published in English and German; if the two differ, the German version prevails.

How we handle your data, in plain words: Data handling. The agreement itself: Data Processing Agreement.
